Terms of Service

1. Acceptance

By accessing algoreaautomation.com or engaging ALGOREA LLC ("ALGOREA") for consulting services, you agree to these Terms of Service. If you do not agree, do not use the site or our services.

2. Services

ALGOREA provides workflow automation consulting, including discovery, design, implementation, documentation, and ongoing support. Scope, deliverables, and fees for each engagement are governed by a separate written proposal or statement of work.

3. Fees and payment

Fees are invoiced as specified in the applicable proposal. Invoices are due within the period stated on each invoice. Late payments may incur interest at the lesser of 1.5% per month or the maximum permitted by law.

4. Client responsibilities

You agree to provide timely access to systems, accurate information, and necessary decisions to enable us to deliver. You are responsible for the lawful use of any data processed by automations we build.

5. Intellectual property

Upon full payment, you own the custom workflows, scripts, and documentation created specifically for you. ALGOREA retains rights to its pre-existing tools, templates, and know-how.

6. Confidentiality

Each party agrees to protect the other's confidential information and use it only to perform under the engagement.

7. Warranties and disclaimers

Services are provided with reasonable skill and care. Except as expressly stated, the website and services are provided "as is" without warranties of any kind, whether express or implied.

8. Limitation of liability

To the maximum extent permitted by law, ALGOREA's total liability arising out of or related to the services will not exceed the fees paid for the engagement giving rise to the claim in the three months preceding the event. Neither party is liable for indirect, incidental, or consequential damages.

9. Third-party services

Automations may rely on third-party platforms (e.g., Zapier, Make, CRMs, billing tools). ALGOREA is not responsible for outages, changes, or pricing decisions made by those third parties.

10. Termination

Either party may terminate an engagement as specified in the applicable proposal. Fees for work performed up to the date of termination remain due.

11. Governing law

These Terms are governed by the laws of the State of Missouri, USA, without regard to conflict-of-laws principles.
